1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Hamilton Technologies, Inc. ("Hamilton," "we," "us," or "our") governing your access to and use of our compliance management platform and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

Hamilton provides a software platform designed to help Political Action Committees (PACs) manage FEC filings, track contributions, monitor compliance, and streamline reporting processes. Our Services include:

• FEC filing preparation and submission tools
• Contribution tracking and management
• Compliance monitoring and alerts
• Reporting and analytics dashboards
• Data import and export capabilities

3. Account Registration

To access certain features of the Services, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access or use of your account

4. Fees and Payment

Access to our Services requires payment of fees as described on our pricing page. By subscribing to our Services, you agree to:

• Pay all applicable fees when due
• Provide valid payment information
• Authorize us to charge your payment method for recurring fees

All fees are non-refundable except as expressly stated in these Terms or as required by applicable law. We reserve the right to change our fees upon reasonable notice.

5. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services in any way that violates applicable laws or regulations
• Submit false, misleading, or fraudulent information to the FEC or other regulatory bodies
• Attempt to gain unauthorized access to the Services or related systems
• Interfere with or disrupt the integrity or performance of the Services
• Reverse engineer, decompile, or disassemble the Services
• Use the Services to transmit malware or other harmful code
• Share your account credentials with unauthorized third parties

6. Your Data and Responsibilities

You retain ownership of all data you submit to the Services ("Your Data"). By using the Services, you grant us a limited license to use Your Data solely to provide the Services to you.

You are solely responsible for:

• The accuracy and completeness of Your Data
• Ensuring Your Data complies with all applicable laws and regulations
• Maintaining backup copies of Your Data
• All FEC filings and compliance obligations of your PAC

Hamilton provides tools to assist with compliance but does not guarantee compliance with FEC regulations. You remain solely responsible for your PAC's compliance obligations.

7. Intellectual Property

The Services, including all content, features, and functionality, are owned by Hamilton and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Services without our prior written consent.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, HAMILTON DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Hamilton does not warrant that the Services will be uninterrupted, error-free, or completely secure. Hamilton is not a law firm and does not provide legal advice. The Services are not a substitute for professional legal or compliance counsel.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL HAMILTON BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SERVICES.

Hamilton's total liability for any claims arising under these Terms shall not exceed the amount you paid to Hamilton for the Services during the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Hamilton and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or in connection with your use of the Services, your violation of these Terms, or your violation of any applicable laws or regulations.

11. Termination

We may terminate or suspend your access to the Services at any time, with or without cause, upon notice to you. Upon termination, your right to use the Services will immediately cease. You may export Your Data prior to termination. Provisions of these Terms that by their nature should survive termination shall survive.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal action or proceeding arising out of these Terms shall be brought exclusively in the federal or state courts located in Delaware.

14. General Provisions

These Terms constitute the entire agreement between you and Hamilton regarding the Services. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
